Welcome to TheraWeb Design (“TheraWeb,” “we,” “us,” or “our”). By accessing our website (https://therawebdesign.com/), requesting a free preview, or purchasing our web design and marketing services, you (“Client,” “you”) agree to be bound by the following Terms of Service (“Terms”).

1. Services Provided

TheraWeb specializes in professional web design, development, and Search Engine Optimization (SEO) services.

  • Web Design: Custom website creation tailored to Client needs.
  • SEO: Optimization strategies designed to improve visibility, though specific search engine rankings cannot be guaranteed.
  • Free Home Page Preview: We offer a complimentary mockup of a home page design to prospective clients to demonstrate our capabilities before a contract is signed.

2. The “Free Home Page Preview” Policy

To protect our creative work, the following terms apply strictly to our Free Home Page Preview offer:

  • Ownership: The Free Home Page Preview remains the sole intellectual property of TheraWeb. You are not permitted to use, copy, reproduce, or distribute the preview design, code, or layout for any purpose unless you proceed with a paid project.
  • No Obligation: Requesting a preview creates no financial obligation. However, if you decline our services, you must destroy or delete any copies of the preview sent to you.
  • Unauthorized Use: Use of our free preview materials (concepts, layout, or design elements) on a live website without payment constitutes copyright infringement and will be subject to legal action and invoicing for the full value of the work.

3. Pricing and Payments

Pricing is determined by the scope of the project and is subject to change.

  • Standard Page Rates: As of our current pricing structure, our standard web design rates are $250 per page for the first five (5) pages, and $150 per page for every additional page thereafter.
  • Invoices: All specific project costs will be detailed in a formal Invoice or Proposal. The Invoice supersedes these general terms if a different price is agreed upon in writing.
  • Payment Schedule: Unless otherwise agreed in writing, a non-refundable deposit (typically 50%) is required to move from the “Preview” phase to the “Development” phase. The remaining balance is due prior to the final launch or delivery of website files.
  • Late Payments: Invoices not paid within [Insert Days, e.g., 14] days of the due date may incur a late fee of [Insert Amount, e.g., 5%] or the maximum allowed by law.

4. Client Obligations

To complete your project on time, TheraWeb requires your cooperation:

  • Content Delivery: You agree to provide all necessary text, images, logos, and other content in a timely manner. Delays in providing content will result in a delay in the project completion date.
  • Rights to Content: You represent and warrant that you own or have permission to use all text, images, and media you provide to us. You agree to indemnify and hold TheraWeb harmless from any third-party claims regarding intellectual property violations related to content you provided.

5. Revisions and Scope

  • Included Revisions: Our pricing includes [Insert Number, e.g., 2] rounds of revisions per page.
  • Scope Creep: Any requested changes that go beyond the original scope (e.g., adding extra pages, complex functionality, or excessive design changes after approval) will be billed at our standard hourly rate or as an additional fixed fee.

6. Intellectual Property Rights

  • Upon Full Payment: Once your final invoice is paid in full, TheraWeb grants you full ownership of the finished website design and HTML/CSS code.
  • Retained Rights: TheraWeb retains the right to display the project in our portfolio, on our website, and in marketing materials as an example of our work.
  • Stock Media: If we purchase stock licenses (images, fonts) on your behalf, the license is generally non-transferable and adheres to the stock provider’s terms.

7. Search Engine Optimization (SEO)

While we use industry best practices to improve your search rankings:

  • No Guarantees: Search engines (like Google) frequently change their algorithms. Therefore, TheraWeb cannot and does not guarantee specific search engine rankings, traffic numbers, or sales conversions.
  • Third-Party Platforms: We are not responsible for changes made by third-party platforms (Google Business Profile, Yelp, etc.) that may affect your listing.

8. Limitation of Liability

To the fullest extent permitted by law, TheraWeb shall not be liable for:

  • Any indirect, incidental, special, or consequential damages (including lost profits or business interruption).
  • Any loss or corruption of data.
  • Website downtime caused by third-party hosting providers or domain registrars.
  • Hacking, security breaches, or malware, though we will implement standard security measures during development.

Total Liability: In no event shall TheraWeb’s total liability under this agreement exceed the total amount paid by the Client to TheraWeb for the specific project giving rise to the claim.

9. Termination

  • By Client: You may cancel the project at any time. If you cancel after the project has started, you forfeit your deposit. You will be billed for any work completed beyond the deposit amount.
  • By TheraWeb: We reserve the right to terminate our relationship if the Client becomes unresponsive, abusive, or fails to make payments. In such cases, all completed work remains the property of TheraWeb until outstanding balances are settled.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of [Insert Your State, e.g., Florida], without regard to its conflict of law provisions.
