Welcome to TheraWeb Design (“TheraWeb,” “we,” “us,” or “our”). By accessing our website (https://therawebdesign.com/), requesting a free preview, or purchasing our web design and marketing services, you (“Client,” “you”) agree to be bound by the following Terms of Service (“Terms”).

1. Services Provided

TheraWeb specializes in professional web design, development, Search Engine Optimization (SEO) services, and agency client-tracking software solutions.

  • Web Design: Custom website creation tailored to Client needs.
  • SEO: Optimization strategies designed to improve visibility, though specific search engine rankings cannot be guaranteed.
  • Free Website Audit: We offer a complimentary website audit to prospective clients to evaluate their current online presence and demonstrate how our services can help before any contract is signed.
  • Agency Tracking Software: We provide proprietary tracking software designed to help marketing agencies identify and pursue prospective clients. See Section 11 for full details.

2. The “Free Website Audit” Policy

To protect our professional work product, the following terms apply to our Free Website Audit offer:

  • Scope of Audit: The free audit includes an evaluation of your current website’s performance, SEO health, design quality, and general recommendations. It does not constitute a full consulting engagement.
  • No Obligation: Requesting an audit creates no financial obligation on your part.
  • Ownership of Audit Materials: All audit reports, findings, and recommendations remain the intellectual property of TheraWeb unless you proceed with a paid project. You are not permitted to reproduce or distribute our audit materials for commercial purposes.
  • Unauthorized Use: Use of our audit findings, strategies, or recommendations to directly engage a third-party service provider without compensating TheraWeb may constitute misappropriation of proprietary work product and could be subject to legal action.

3. Pricing and Payments

Pricing is determined by the scope of the project and is subject to change.

  • Standard Page Rates: As of our current pricing structure, our standard web design rates are $250 per page for the first five (5) pages, and $150 per page for every additional page thereafter.
  • Invoices: All specific project costs will be detailed in a formal Invoice or Proposal. The Invoice supersedes these general terms if a different price is agreed upon in writing.
  • Payment Schedule: Unless otherwise agreed in writing, a non-refundable deposit (typically 50%) is required to begin development. The remaining balance is due prior to the final launch or delivery of website files.
  • Late Payments: Invoices not paid within [Insert Days, e.g., 14] days of the due date may incur a late fee of [Insert Amount, e.g., 5%] or the maximum allowed by law.

4. No Refund Policy

ALL SALES ARE FINAL. TheraWeb Design does not offer refunds under any circumstances once services have been initiated or a hosting plan has been purchased.

  • Non-Refundable Deposits: All deposits paid to begin a project are strictly non-refundable regardless of the reason for cancellation.
  • Hosting Plan Purchases: Once a hosting plan has been purchased or activated on your behalf, no refunds will be issued for any reason, including but not limited to: cancellation of the overall project, dissatisfaction with the hosting provider, or a decision not to proceed with website development.
  • Completed Work: Payments made for completed milestones, delivered pages, or design work that has been approved at any stage are non-refundable.
  • Partial Completion: If a project is terminated mid-development, you will not receive a refund on any amounts already paid. You will additionally be invoiced for any work completed beyond your deposit amount.
  • No Chargebacks: By engaging TheraWeb’s services, you agree not to initiate a chargeback through your bank or credit card provider. In the event of an unauthorized chargeback, TheraWeb reserves the right to pursue full recovery of funds plus applicable fees through legal means.

By proceeding with any paid service, you acknowledge and accept this no-refund policy in its entirety.

5. Client Obligations

To complete your project on time, TheraWeb requires your cooperation:

  • Content Delivery: You agree to provide all necessary text, images, logos, and other content in a timely manner. Delays in providing content will result in a delay in the project completion date.
  • Rights to Content: You represent and warrant that you own or have permission to use all text, images, and media you provide to us. You agree to indemnify and hold TheraWeb harmless from any third-party claims regarding intellectual property violations related to content you provided.

6. Revisions and Scope

  • Included Revisions: Our pricing includes [Insert Number, e.g., 2] rounds of revisions per page.
  • Scope Creep: Any requested changes that go beyond the original scope (e.g., adding extra pages, complex functionality, or excessive design changes after approval) will be billed at our standard hourly rate or as an additional fixed fee.

7. Intellectual Property Rights

  • Upon Full Payment: Once your final invoice is paid in full, TheraWeb grants you full ownership of the finished website design and HTML/CSS code.
  • Retained Rights: TheraWeb retains the right to display the project in our portfolio, on our website, and in marketing materials as an example of our work.
  • Stock Media: If we purchase stock licenses (images, fonts) on your behalf, the license is generally non-transferable and adheres to the stock provider’s terms.

8. Search Engine Optimization (SEO)

While we use industry best practices to improve your search rankings:

  • No Guarantees: Search engines (like Google) frequently change their algorithms. Therefore, TheraWeb cannot and does not guarantee specific search engine rankings, traffic numbers, or sales conversions.
  • Third-Party Platforms: We are not responsible for changes made by third-party platforms (Google Business Profile, Yelp, etc.) that may affect your listing.

9. Limitation of Liability

To the fullest extent permitted by law, TheraWeb shall not be liable for:

  • Any indirect, incidental, special, or consequential damages (including lost profits or business interruption).
  • Any loss or corruption of data.
  • Website downtime caused by third-party hosting providers or domain registrars.
  • Hacking, security breaches, or malware, though we will implement standard security measures during development.
  • Total Liability: In no event shall TheraWeb’s total liability under this agreement exceed the total amount paid by the Client to TheraWeb for the specific project giving rise to the claim.

10. Termination

  • By Client: You may cancel the project at any time. If you cancel after the project has started, you forfeit your deposit. You will be billed for any work completed beyond the deposit amount. No refunds will be issued per Section 4.
  • By TheraWeb: We reserve the right to terminate our relationship if the Client becomes unresponsive, abusive, or fails to make payments. In such cases, all completed work remains the property of TheraWeb until outstanding balances are settled.

11. Agency Client-Tracking Software

TheraWeb provides proprietary tracking and prospecting software designed to assist marketing agencies in identifying, evaluating, and pursuing potential clients (“Tracking Software”). The following terms govern your use of the Tracking Software:

  • Eligibility: The Tracking Software is available exclusively to marketing agencies and qualified business development professionals. Use by individual consumers or non-agency entities is not permitted without prior written approval from TheraWeb.
  • License: Upon purchase, TheraWeb grants you a limited, non-exclusive, non-transferable license to use the Tracking Software solely for your internal business development purposes.
  • Permitted Use: The Tracking Software may be used to identify prospective clients, monitor publicly available digital signals, and manage outreach pipelines. It may not be used for any unlawful purpose, including unauthorized data collection, harassment, or violation of anti-spam laws (CAN-SPAM, GDPR, CCPA, etc.).
  • Data Compliance: You are solely responsible for ensuring your use of the Tracking Software complies with all applicable privacy and data protection laws. TheraWeb is not liable for any misuse of the software or data obtained through it.
  • No Refunds on Software: All purchases of the Tracking Software are final and non-refundable per Section 4 of these Terms.
  • Updates and Support: TheraWeb may provide updates to the Tracking Software at its discretion. Continued availability of features is not guaranteed and is subject to change without notice.
  • Intellectual Property: All rights, title, and interest in and to the Tracking Software, including all underlying code, algorithms, and data models, remain the exclusive property of TheraWeb Design. You may not reverse-engineer, decompile, resell, or sublicense the software.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.
