Client Agreement & Service Terms

A page is one distinct URL with its own layout and content. Home, About, Services, and Contact are four pages. Blog posts, location pages, individual service pages, and landing pages each count. Pop-ups, modals, and blocks repeated across pages do not count separately. Example: a five-page site is $1,250. An eight-page site is $1,700: $1,250 for the first five, plus $450 for three more at $150. Most small business sites land between $750 and $2,000.

Custom-coded, mobile-first design with no page builders or off-the-shelf templates; technical SEO built into the architecture: semantic markup, metadata, heading structure, image optimization, and sitemap; responsive layouts tested across common desktop, tablet, and mobile sizes; contact or lead capture where applicable to the pages purchased; deployment to your Hostinger account with DNS configuration; and Google Search Console setup with sitemap submission.

Unless separately purchased and named in your quote: paid advertising management, ongoing SEO campaigns or link building, logo or brand identity design, photography or videography, ongoing social media content, e-commerce catalog data entry, third-party software licenses or subscriptions, custom application or database development, stock media licensing, legal review of your copy or policies, and content migration beyond what is agreed in writing.

These are estimates in business days, measured from when we have all content, materials, and account access needed to begin. They are not guaranteed delivery dates, and they extend by any delay on your side or any change that expands scope after work has begun.

The First Build is finished when we have assembled your purchased pages into a functioning website. It does not need to be fully revised or publicly launched for the fee to become due.

At that point we schedule a video call and walk you through the completed site together: the pages, the layouts, how it works on desktop and mobile. You see exactly what you are paying for before you pay for it, and you can ask anything while we are on the call. Your itemized Stripe invoice is presented during the call.

We strongly recommend completing payment during the video call. Doing it while we are together means we can confirm the payment actually went through, catch a declined card or a bank hold immediately, and sort it out on the spot, rather than you finding out days later that it never processed.

If payment is not completed on the call, the invoice remains due within seven days of that call.

We bill through Stripe. You receive a complete itemized invoice for every charge, showing each service and its rate. Card details are handled entirely by Stripe and are never stored by us.

Your card is saved to your Stripe customer record at the moment you make that payment; you do not need to provide one before then. Saving it is what lets us run your monthly Care Plan subscription if you have one, and process any later charge you agree to in writing. It is never used for anything you have not approved, and you are notified before any charge is made.

The Cloud Hosting & Care Plan is a Stripe subscription billed at $75 per month in advance, starting the day it is activated. You can cancel it yourself at any time through the Stripe customer portal, with no notice period and no cancellation fee. Cancellation takes effect at the end of the billing period you have already paid for; that period is not refunded, and service continues through it. Recurring fees are separate from your one-time project fee.

If an invoice is unpaid more than seven days after your review call, a late fee of 1.5% per month may accrue on the outstanding balance, or the maximum permitted by Florida law, whichever is less. We may pause work, withhold delivery of files, pause hosting and care services, or take the website offline until the account is current. The full balance stays owed during any pause. You agree to reimburse reasonable costs of collection, including attorneys' fees, on any amount properly owed and unpaid.

If you cancel before the Hostinger Hosting Setup is complete, anything already paid is applied to work actually performed up to that date at the rates in Section 1, and to any non-recoverable third-party costs incurred on your behalf. If a balance remains, we return it. Work already performed is not refundable.

Care Plan fees are non-refundable once a billing period has begun; cancelling stops future billing but does not refund the current period. Business Email Setup and Comprehensive Social Setup are non-refundable once performed.

If you have a billing concern, contact us and we will work through it. Initiating a chargeback or payment dispute for services already rendered is a material breach of these terms. We respond to disputes with full documentation, your accepted quote, the itemized Stripe invoice, the record of your review call, the delivered work, and these terms, and we reserve the right to suspend services, take the website offline, and pursue the amount owed together with any resulting fees and costs of collection.

Whether or not your website exists, functions, or performs as expected, we carry no responsibility or liability for:

• Business performance: revenue, profit, sales volume, lead quality, conversion rate, customer acquisition, growth, or business failure, closure, or bankruptcy
• Operations: staffing, payroll, scheduling, inventory, supply chain, vendors, fulfillment, shipping, service delivery, or the quality of your goods or services
• Customer relations: complaints, disputes, refunds, chargebacks, reviews, reputation, or claims made by your customers
• Legal and regulatory compliance: licensing, permits, zoning, employment law, tax obligations, industry regulations, accessibility standards beyond what is built, privacy and data protection compliance, advertising law, and the accuracy or legality of anything you publish
• Financial matters: accounting, bookkeeping, taxes, debts, financing, insurance, payment processing disputes, or banking
• Content: the truth, accuracy, legality, or ownership of any text, image, video, logo, testimonial, price, or claim you supply or ask us to publish
• Third-party actions: competitor conduct, platform policy or algorithm changes, ranking changes, hosting or registrar failures, cyberattacks, fraud, or data breaches originating outside our direct work
• Your decisions: pricing, positioning, strategy, partnerships, expansion, contracts with other parties, or any business judgment, whether or not we were told about it or offered an informal opinion
• Events beyond anyone's control:economic conditions, market shifts, natural disasters, public health events, or acts of government

We are a web design and development company. Nothing we say or provide, in conversation, email, text, a proposal, a strategy suggestion, or a website scan or report, is legal, financial, tax, accounting, insurance, medical, or other professional advice. We are not your attorney, accountant, financial advisor, or business consultant. Any general observation we offer is informal and acted on at your sole discretion and risk. Consult a qualified licensed professional before making any business, legal, or financial decision.

We build technically sound, conversion-focused websites with SEO fundamentals implemented at the architecture level. We cannot guarantee any specific outcome. Rankings, traffic, impressions, click-through rates, lead volume, calls, form submissions, sales, and revenue depend on market competition, your pricing and reputation, search engine algorithms, seasonality, and your own follow-up and operations. Any past results, ranking examples, or case studies we reference are illustrative only, not a promise, prediction, or warranty of your results.

Both sides keep confidential any non-public business information, credentials, or materials received from the other and use them only for the project. This does not apply to information that is or becomes public through no fault of the receiving side, was already known to them, or must be disclosed by law.

These terms begin when you engage us and continue until the project is complete and paid, and after that for as long as any recurring service stays active. You may cancel the Care Plan at any time as described in Section 3.4. We may end the engagement immediately if payment is not made when due, if these terms are breached, if unlawful or infringing content is supplied, or if there is abusive, threatening, or harassing conduct toward us or our personnel. When an engagement ends, amounts owed for work performed become immediately due, and Sections 4, 5, 6, 10, 11, and 12 continue to apply.

You agree to defend, indemnify, and hold harmless TheraWeb Design, Bhat-tec LLC, and their owners, members, employees, and contractors from any claim, loss, damage, liability, fine, or expense, including reasonable attorneys' fees, arising out of: content you supplied or approved for publication; your business, products, services, operations, or conduct; your violation of any law, regulation, licensing requirement, or third-party right; your use of the website after handoff; or your breach of these terms.

These terms are governed by Florida law, without regard to its conflict-of-law provisions. Both sides will try in good faith to resolve any dispute directly first. Any action is brought exclusively in the state or federal courts of Hillsborough County, Florida, and both sides consent to that jurisdiction and venue.

We are an independent contractor; nothing here creates a partnership, joint venture, employment, agency, or fiduciary relationship, and neither side can bind the other. Neither side is liable for delay or failure caused by events beyond reasonable control, including natural disasters, hurricanes, fire, flood, power or internet outages, hosting or platform failures, epidemics, war, civil unrest, cyberattacks, or acts of government. You may not assign these terms without our written consent; we may assign them in a sale, merger, or transfer of substantially all our assets, and may use qualified subcontractors while staying responsible for what is delivered. Notices must be in writing and are effective when emailed or mailed to the addresses on record.

These terms, your project quote, and any written change we both agree to form the entire agreement between us, replacing all prior discussions, proposals, quotes, and emails. They can be changed only in writing agreed by both sides. If any provision is unenforceable it is modified to the minimum extent necessary or removed, and the rest stays in force; not enforcing a provision once does not waive it. We may update these terms from time to time; the version in effect when you engage us governs your project, and material changes affecting an active project or recurring service are communicated in writing before they take effect.
